Acceptance of Terms
By accessing or using the Indigenious platform, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the platform.
These terms apply to all users of Indigenious, including but not limited to Indigenous businesses, community validators, corporate partners, government agencies, and financial institutions.
Platform Description and Services
Indigenious operates a B2B business verification and matching platform designed to:
- Verify Indigenous business legitimacy and good standing
- Connect Indigenous businesses with procurement opportunities, financing, and strategic partners
- Enable community validation of business ownership and Indigenous affiliation
- Support federal procurement compliance (Indigenous content requirements)
- Facilitate Indigenous business networking and economic development
The platform includes two core components:
- Indigenious (B2B Bridge): Business directory, matching engine, and verification
- Unations (Community Validation): Community validator network for ownership and affiliation confirmation
Account Registration and Responsibilities
Account Registration
To register your business on Indigenious, you must:
- Be at least 18 years old
- Have the legal authority to represent your business
- Provide accurate, complete, and current information
- Maintain and update your business profile regularly
Your Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- Notifying us immediately of any unauthorized access
- Keeping your business profile information accurate and up-to-date
- Complying with all applicable laws and regulations
- Using the platform only for legitimate business purposes
Acceptable Use Policy
You agree not to:
- Fraudulent self-declaration: Falsely claim Indigenous business status or community affiliation
- Misuse Indigenous identity: Impersonate an Indigenous business, community, or validator
- Provide false information: Submit false documentation or misleading business information
- Harassment or discrimination: Use the platform to harass, discriminate, or bully other users
- Illegal activity: Use the platform to facilitate illegal transactions or activities
- Unauthorized access: Attempt to access, modify, or disrupt platform systems
- Competitive abuse: Scrape data, reverse-engineer functionality, or use the platform to compete with Indigenious
- Commercial spam: Send unsolicited commercial messages or recruit users for external schemes
Consequences of Violation
Violations of this policy may result in:
- Suspension of your account
- Removal of your business profile
- Permanent ban from the platform
- Legal action, including recovery of damages
Verification Process and Obligations
Business Verification
When you register on Indigenious, you must undergo verification. The process includes:
- Confirmation of business registration and legal status
- Proof of community affiliation (letter of support, community validator approval)
- Review of compliance and financial standing
- W3C VC-based certification of verified status
Community Validator Confirmation
Community validators (designated by Unations) may contact you to confirm your business legitimacy and community connection. You agree to:
- Respond promptly to validator inquiries
- Provide supporting documentation as requested
- Accept the validator's decision as binding
- Allow the validator to access necessary community knowledge
Verification Denial or Revocation
Indigenious reserves the right to deny or revoke verification if:
- Your information is false or misleading
- You fail to respond to validator inquiries
- A community validator disputes your affiliation
- You engage in fraudulent activity
- You violate this acceptable use policy
If verification is denied or revoked, we will notify you of the reason and your right to appeal within 30 days.
Intellectual Property
Platform IP
Indigenious owns all intellectual property in the platform, including:
- Software code and algorithms
- Matching and verification systems
- Design, layout, and user interface
- Content, logos, and trademarks
Your Content
You retain ownership of your business profile and information. By submitting your profile to Indigenious, you grant us a license to:
- Display your profile to potential partners and customers
- Use your data for verification and matching
- Include your data in aggregated, anonymized reports
- Improve the platform and services
Restrictions
You may not:
- Copy or reproduce platform content without permission
- Modify or create derivative works
- Use the platform or its content for competitive purposes
- Remove copyright, trademark, or other proprietary notices
Limitation of Liability
No Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. INDIGENIOUS DISCLAIMS ALL WARRANTIES INCLUDING:
- Fitness for a particular purpose
- Merchantability or non-infringement
- Accuracy or completeness of information
- Uninterrupted or error-free operation
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIGENIOUS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Lost profits, revenue, or business opportunity
- Loss of data or business interruption
- Damages arising from use or inability to use the platform
Our total liability shall not exceed the fees you paid to Indigenious in the 12 months preceding the claim.
User Responsibility
You are responsible for:
- Verifying business information independently
- Conducting due diligence on potential partners
- Understanding the risks of business transactions
- Complying with all applicable laws
Dispute Resolution
Good Faith Negotiation
If you have a dispute with Indigenious, we will first attempt to resolve it through good faith negotiation. Contact legal@indigenious.ca to initiate discussions.
Mediation
If negotiation fails, either party may request non-binding mediation. The mediator will be mutually agreed upon and costs will be split equally.
Arbitration
Any claim not resolved through negotiation or mediation shall be submitted to binding arbitration under the Arbitration Act of Alberta, with:
- One arbitrator mutually agreed upon
- Arbitration held in Edmonton, Alberta
- Canadian law applies
- Costs borne by the party initiating arbitration
You waive the right to pursue disputes in court or class action litigation.
Governing Law
These Terms of Service are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Termination
Termination by You
You may terminate your account at any time by contacting us at legal@indigenious.ca. Upon termination:
- Your profile will be deactivated within 30 days
- Your data will be retained as per our Privacy Policy
- You remain liable for any obligations incurred
Termination by Indigenious
We may suspend or terminate your account if:
- You violate these terms or our acceptable use policy
- You engage in fraud or illegal activity
- You fail to respond to verification requests
- You threaten the security or integrity of the platform
In case of termination due to violation, we will provide notice and a 14-day opportunity to cure the violation before permanent removal.
Changes to Terms
Indigenious reserves the right to modify these terms at any time. We will notify you of material changes via email at least 30 days in advance. Your continued use of the platform after such notice constitutes acceptance of the modified terms.
